Name: The name of this organization is the Half Ton Radio Club (HTRC) and shall

henceforth in this document be referred to as “the Organization” or by the initials HTRC.

HTRC CONSTITUTION

 

PREAMBLE:  We, the undersigned, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio, constitute ourselves the Half Ton Radio Club and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community.

 

ARTICLE I

. BOARD OF DIRECTORS:

Section 1:        The board of directors has the power to determine the location of the Club’s principal place of business and registered office, which need not be the same location.  The board of directors also has the power to designate the Club’s registered agent, who may be an officer or director.

 

Section 2:        One director will be designated Treasurer and shall receive and receipt for all monies paid to the club; keep an accurate account of all monies received and expended and pay bills. At the end of each year he/she shall submit an itemized statement of disbursements and receipts.

 

Section 3:        The board determines the business of the Club including expenditures, allocation of funds, improvements or additions to club radio sites and sign all official documents adopted by the Club.

 

Section 4:        Vacancies in the board of directors shall be filled by the remaining members of the board, and each person so elected shall be a director until his or her successor is elected at any special meeting duly called for that purpose and held prior thereto.

 

Section 5:        The annual meeting of directors at which the other officers of the club are elected, shall be held immediately following the final adjournment of the annual board meeting.

 

Section 6:        Meetings of the board of directors other than the annual meeting of directors may be held as a majority of the directors may from time to time select.

 

Section 7:        A majority of the board of directors shall be necessary to constitute a quorum for the transaction of business.

 

Section 8:        Meetings of the board of directors may be called by the President of the Club at any time and may be held after the giving of sufficient notice to each director to enable him or her to attend.

 

ARTICLE II

MEMBERSHIP:

Section 1:       All persons interested in Amateur Radio communications and holding a valid amateur operators license shall be eligible for membership. Membership shall be by application and election upon such terms as the Club shall provide in its By-Laws.

Section 2:        Full membership is open to licensed amateurs. Full membership includes all club privileges as well as rights to hold a club office and to vote for club officers.

 

ARTICLE III

OFFICERS:

Section 1:       The officers of this club shall be President, Vice-President and Secretary.

Section 2:        The officers of this club shall be elected for a term of one year by ballot of the members present, provided there be a quorum, at the annual meeting. One person may hold more than one office, but not all offices.

Section 3:       Vacancies occurring between elections must be filled by special elections at the first regular meeting following the withdrawal or resignation.

Section 4:       Officers may be removed by a three-fourths vote of the membership.

 

ARTICLE IV

DUTIES OF OFFICERS:

Section 1:       The President shall preside at all club meetings, and conduct them according to the rules adopted. He/she shall enforce due observance of this Constitution and By-Laws; decide all questions of order; and perform all other duties pertaining to the office of President. The president will also attend all board meetings and report to the membership on behalf of the board of directors.

Section 2:       The Vice-President shall assume all the duties of the President in his/her absence. In addition, he/she shall organize club activities, plan and recommend contests for operating benefits, and advance club interest and activity as approved by the club. He/she shall maintain close liaison with the ARRL Section Emergency Coordinator to further club participation in the Amateur Radio Emergency Service.

Section 3:       The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit membership applications, carry on all correspondence, read communications at each meeting, and mail written meeting notices to each member. At the expiration of his/her term he/she shall turn over all items belonging to the club to his/her successor

ARTICLE V

MEETINGS:

Section 1:       The By-Laws shall provide for regular and special meetings.

Section 2:       At meetings, a minimum of one-third of the membership shall constitute a quorum for the transaction of business.

 

 

ARTICLE VI

DUES:

Section 1:       The Club, by majority vote of those present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization. Non-payment of such dues or assessments shall be cause for expulsion from the club within the discretion of the membership.

 

ARTICLE VII

AMENDMENTS:

Section 1:       Amendments to this constitution or By-Laws may be submitted by the total membership to the board of directors. Proposals for amendments shall be submitted in writing at a regular meeting and shall be voted on by the board at the next scheduled board meeting.

 

ARTICLE VIII

RULES:

Section 1:            Robert’s Rules of Order shall govern all proceedings.

 

BY-LAWS

SECTION 1   Secretary:  It shall be the duty of the Secretary to keep the constitution and By-Laws of the club and have the same with him/her at every meeting. He/she shall note all amendments, changes and additions on the constitution and shall permit it to be consulted by members upon request.

SECTION 2:  Membership:  Written application for membership shall be submitted at a regular meeting and each application must express a willingness of the applicant to abide by the Constitution and By-Laws and such rules as shall from time to time be promulgated by the Club. Two-thirds of those present shall approve the applicant before he shall be considered elected to membership.

SECTION 3:  Meetings:  Regular meetings shall be held on First Sat of each calendar month. Special meetings may be called by the President upon the written request of any five club members. Notices shall be sent to members concerning special meetings and the business to be transacted. Only such business as designated shall be transacted. Such notices shall be sent so that they arrive not less than 24 hours before the meeting.

SECTION 4:  Dues:  A regular monthly assessment of $0 per member is hereby assessed in accordance with the provisions of Article V of the constitution for the purpose of providing funds for expenses.

SECTION 5    Interference committee:  This committee shall consist of five members (appointed by the club President). The committee shall direct investigation, invite proper inquires, establish technical facts and testimony and report its results to the club.

(additional By-Laws may provide for technical, program, publicity and other committees, or other rules provisions not provided for in this sample constitution.

Ratification

These bylaws are hereby ratified on the 10th of November 2010, with the initial Officers of the organization being:
